1. General Information and Compliance-Support Tool
The Company provides this software, website, application, and related services (collectively, the "Service") as a compliance-support, information-management, documentation, and workflow tool for quality assurance, quality control, food safety, regulatory, certification, and operational activities.
The Service is intended to assist users in organizing information, managing documentation, identifying potentially applicable requirements, preparing records and workflows, and supporting internal compliance activities.
The Service does not provide legal, regulatory, certification, auditing, consulting, engineering, scientific, or other professional advice.
Use of the Service does not create an attorney-client, consultant-client, auditor-client, certification, or other professional relationship between the Company and any user.
2. No Guarantee of Compliance
Use of the Service does not guarantee or represent that a user's facility, products, processes, records, procedures, personnel, or operations comply with any applicable law, regulation, rule, guidance, customer requirement, certification standard, private standard, or other requirement.
The Company does not guarantee that use of the Service will result in:
- Regulatory compliance;
- Successful regulatory inspection;
- Successful FDA, USDA, or other governmental inspection;
- Successful SQF, MSC, HACCP, or other certification audit or assessment;
- Acceptance by a customer, retailer, distributor, supplier, auditor, certification body, or regulatory authority;
- Approval of any product, process, facility, or procedure;
- Prevention of recalls, withdrawals, complaints, nonconformities, enforcement actions, or other adverse events; or
- Any particular business, operational, financial, certification, regulatory, or audit outcome.
Users remain solely responsible for determining and maintaining compliance with all requirements applicable to their operations.
3. AI-Generated and Automated Content
The Service may use artificial intelligence, machine learning, automation, or other algorithmic technologies to generate, summarize, classify, organize, analyze, or recommend information.
AI-generated or automated outputs may be incomplete, inaccurate, outdated, incorrectly interpreted, or inapplicable to a particular facility, product, process, jurisdiction, or circumstance.
AI-generated content must be reviewed, verified, and approved by appropriately qualified personnel before it is relied upon or implemented.
The Company does not represent or warrant that AI-generated content is accurate, complete, current, legally sufficient, or appropriate for any particular purpose.
Users should not rely solely upon an AI-generated output when making food-safety, regulatory, legal, quality, public-health, product-release, disposition, recall, or other safety-critical decisions.
4. Regulatory and Standards Information
The Service may reference or provide information relating to governmental regulations, guidance, laws, certification programs, industry standards, customer requirements, and other external sources, including but not limited to FDA, FSMA, USDA FSIS, HACCP, SQF/SQFI, MSC, Codex Alimentarius, eCFR, and related organizations or programs.
Such references are provided for informational and compliance-support purposes only.
Official governmental agencies, standards organizations, certification bodies, and other authoritative sources remain the controlling sources for their respective requirements.
Requirements may change, be revised, withdrawn, interpreted differently, or become applicable or inapplicable based on circumstances.
Users are responsible for consulting and verifying current official requirements applicable to their operations. Where appropriate, the Service provides links or references to official sources so users may review authoritative materials directly — see Sources, Attribution & Independence.
5. Independent Status and No Affiliation
Unless expressly stated otherwise in writing, the Company is independent of and is not affiliated with, endorsed by, sponsored by, approved by, certified by, or otherwise officially associated with any governmental agency, standards organization, certification body, or private organization referenced by the Service.
This includes, without limitation, the U.S. Food and Drug Administration (FDA), U.S. Department of Agriculture Food Safety and Inspection Service (USDA FSIS), SQFI/Safe Quality Food Institute, Marine Stewardship Council (MSC), FAO/WHO Codex Alimentarius, HACCP Alliance, and any successor or related organization.
References to third-party organizations, standards, programs, clauses, regulations, or requirements do not imply endorsement, partnership, certification, authorization, or affiliation.
6. User Responsibility
The user is solely responsible for:
- Determining which laws, regulations, standards, certifications, and customer requirements apply to the user's operations;
- Obtaining and reviewing current authoritative requirements;
- Determining whether the information provided by the Service is applicable;
- Reviewing and approving AI-generated or automated content;
- Establishing, implementing, and maintaining appropriate food-safety and quality systems;
- Making product-release, product-hold, disposition, recall, corrective-action, and other operational decisions;
- Maintaining required records and documentation;
- Obtaining professional, legal, regulatory, technical, scientific, or certification advice when appropriate; and
- Ensuring that employees and other personnel are appropriately trained and qualified.
The Service is not a substitute for the user's own professional judgment, regulatory responsibilities, food-safety systems, or management oversight.
7. No Reliance on Automated Scores or Assessments
Any score, rating, percentage, status, dashboard, assessment, recommendation, alert, risk classification, readiness indicator, or similar output generated by the Service is an informational estimate based on information available to the Service at the time it is generated.
Such outputs do not constitute a legal determination, regulatory determination, certification determination, audit determination, or official finding of compliance or noncompliance.
For example, a "readiness score" or "compliance status" displayed by the Service does not mean that a facility will pass an audit, inspection, certification assessment, or regulatory review.
8. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, INFORMATION, OUTPUTS, RECOMMENDATIONS, DOCUMENTATION, AUTOMATIONS, AND FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, COMPLETENESS, AND CURRENTNESS.
THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR FACILITY, PRODUCT, PROCESS, JURISDICTION, CERTIFICATION PROGRAM, OR BUSINESS PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, PRODUCTION, CUSTOMERS, CERTIFICATION, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THE USE OF OR RELIANCE UPON THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS ACTUALLY PAID BY THE USER TO THE COMPANY FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in this section shall exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law.
10. User Indemnification
To the maximum extent permitted by applicable law, the user agrees to defend, indemnify, and hold harmless the Company and its owners, members, managers, officers, directors, employees, contractors, affiliates, licensors, service providers, and agents from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- The user's use or misuse of the Service;
- The user's violation of applicable law, regulation, certification requirements, or third-party rights;
- The user's failure to maintain required food-safety, quality, regulatory, or operational controls;
- Decisions made by the user based upon information or outputs generated by the Service; or
- Information, documents, data, or content submitted to the Service by the user.
11. Third-Party Sources and Services
The Service may reference, link to, integrate with, or rely upon information or services provided by third parties.
The Company does not guarantee the accuracy, completeness, availability, interpretation, or continued availability of third-party information, websites, standards, regulations, APIs, services, or resources.
Users should independently verify important information with the applicable authoritative source.
12. Regulatory Changes
The Company may attempt to monitor or identify changes to regulations, standards, guidance, or other requirements. However, the Company does not guarantee that every change will be identified, detected, interpreted, or incorporated into the Service immediately or at all.
Users remain responsible for monitoring requirements applicable to their operations and verifying current requirements with authoritative sources.
13. Emergency and Safety-Critical Decisions
The Service is not intended to replace emergency procedures, qualified food-safety personnel, regulatory authorities, medical professionals, legal counsel, emergency services, or other appropriate professional resources.
Users must use their own judgment and follow applicable emergency, recall, product-hold, product-disposition, food-safety, regulatory, and crisis-management procedures.
14. Acceptance of Responsibility
By accessing or using the Service, the user acknowledges that the Service is a tool to assist with compliance-related activities and that the user remains responsible for all decisions made in connection with the user's operations.
The user acknowledges that no software system, artificial intelligence system, automated assessment, checklist, database, or compliance-management platform can independently determine or guarantee legal or regulatory compliance for a particular business.
15. No Substitute for Official Sources or Professional Advice
Nothing contained in the Service should be interpreted as legal, regulatory, certification, auditing, food-safety, scientific, engineering, or other professional advice.
Users should consult the applicable governmental authority, certification body, qualified food-safety professional, attorney, auditor, or other appropriate professional whenever a question requires professional judgment.
IMPORTANT: This disclaimer is intended to explain the nature and limitations of the Service. It is not intended to eliminate rights or liabilities that cannot legally be waived or limited under applicable law.
